These terms are provisional and require final legal review before general availability. If you are evaluating Kelvaro for use with sensitive contractor, tax, or payment data and need finalized legal terms, use the contact channel supplied during controlled-pilot onboarding before proceeding.
Kelvaro is a contractor operations platform for businesses that manage and pay independent contractors. You may use Kelvaro only for lawful business purposes. You may not use the platform to process payments for illegal activity, submit fraudulent information, evade sanctions or payment restrictions, or circumvent applicable employment, tax, privacy, or other law.
You are responsible for the accuracy and lawfulness of the contractor records, payment instructions, work records, tax information, and other data you submit or request through Kelvaro, and for ensuring that people acting in your account are authorized.
You are also responsible for determining your legal obligations concerning worker classification, withholding, reporting, W-9/W-8 collection and review, and other tax or employment requirements. Kelvaro does not determine whether a worker is legally an independent contractor or employee.
Kelvaro provides software that coordinates supported payment workflows. Stripe provides payment-processing and connected-account infrastructure used by Kelvaro. Payment and payout services may therefore be subject to Stripe's terms, eligibility requirements, verification, processing times, restrictions, reversals, and other provider rules.
Approving a payout in Kelvaro does not necessarily mean money has been transferred. Customer funding must satisfy the product's settlement and safety checks before an authorized contractor transfer can be initiated. You must not attempt to bypass provider verification, funding settlement, payout approval, recipient verification, or other money-safety controls.
Kelvaro may provide W-9/W-8 workflows, threshold monitoring, year-to-date payment records, tax-readiness reports, and exports. These features help organize information but do not guarantee that a form is legally sufficient, that a worker is correctly classified, or that a filing is required or complete. Kelvaro does not currently provide live 1099 electronic filing.
Kelvaro provides software and operational information, not legal, tax, accounting, or employment advice. You should consult qualified advisers about worker classification, tax reporting, withholding, state requirements, contracts, or other legal or tax questions.
As between you and Kelvaro, you retain your rights in the business and contractor records you submit. You authorize Kelvaro and its service providers to process that information as necessary to provide, secure, support, and improve the service and to satisfy applicable obligations, subject to the Privacy Policy and any applicable written agreement.
We may suspend or terminate accounts that violate these terms, present a security or payment risk, or fail to satisfy applicable subscription obligations after notice where appropriate. Deletion requests are subject to identity/authority verification and to records that Kelvaro must retain for financial integrity, security, tax or recordkeeping obligations, disputes, legal claims, or other applicable requirements. During a controlled pilot, request a deletion review through the contact channel supplied in the pilot agreement or onboarding materials.
Kelvaro is provided “as is” and “as available” to the extent permitted by law. Provider availability, financial-network processing, customer/contractor information, and other circumstances outside Kelvaro's control may affect service results. Final warranty, liability, billing, dispute, governing-law, and other contractual provisions remain subject to legal review before general availability.
Controlled-pilot legal questions should use the contact channel supplied during pilot onboarding. A verified public legal or support address will be published before broader availability.
